Read these terms and conditions carefully before using or downloading the Digital version of the “Worldwide Aviation Directory” from AOPA. By using or purchasing the Digital version of the “Worldwide Aviation Directory” from AOPA, you agree to be bound by the terms and conditions of this Agreement. If you do not accept the terms and conditions in this Agreement, do not download the Digital version of the “Worldwide Aviation Directory” from the Seller.

(the "USER")

OF THE SECOND PART
(individually the "Party" and collectively the "Parties")
IN CONSIDERATION OF the Seller providing the Digital version of the “Worldwide Aviation Directory” to the User and the User paying the Seller the Purchase Price, and other valuable consideration, the receipt and sufficiency of which consideration is hereby acknowledged, the Parties agree as follows: 
Digital version of the “Worldwide Aviation Directory.” License agreement

I.	The Seller is the co-editor of “the Worldwide Aviation Directory” and provides the User with the Digital version of the “Worldwide Aviation Directory” described below. 
II.	License
a.	The Digital version of the “Worldwide Aviation Directory” is the property of its editors and authorized representatives and is copyrighted by law. The Digital version of the “Worldwide Aviation Directory” shall not be copied, published, or used in any way except as provided in this Agreement. The Seller reserves the right to use the Digital version of the “Worldwide Aviation Directory” on the Seller’s website and for the Seller’s own marketing or advertising purposes. 
b.	The Seller will provide the User with the Digital version of the “Worldwide Aviation Directory,”, dated 2024/2025 and the Agreement will automatically renew indefinitely (the "License Term") for this version.
III.	Permitted Use
a.	The User shall only use the Digital version of the “Worldwide Aviation Directory” under this Agreement. 
b.	The User shall use the Digital version of the “Worldwide Aviation Directory” for personal, non-commercial use only and subject to the restrictions on use set out in this Agreement (the "Permitted Use") for the duration of the License Term. 
c.	Personal, non-commercial use means the User may display the Digital version of the “Worldwide Aviation Directory” on their personal computers, tablets, and smartphones and may print the Digital version of the “Worldwide Aviation Directory” for personal use. The User may not display the data in the Digital version of the “Worldwide Aviation Directory” on any website. 
The User may not share the Digital version of the “Worldwide Aviation Directory” data or content to its personal social media platforms.
IV.	Restrictions on Use
a.	The User shall not resell, sub-license or redistribute the Digital version of the “Worldwide Aviation Directory” except as provided in this Agreement. 
b.	The User shall not use the Digital version of the “Worldwide Aviation Directory” commercially to earn money, for marketing or advertising purposes, or in a trademark, except as provided for in this Agreement. 
c.	The User shall not use the Digital version of the “Worldwide Aviation Directory” in an obscene, defamatory, or immoral way.
d.	The User shall not use, and shall not allow to be used, the Digital version of the “Worldwide Aviation Directory” for any purposes prohibited by the laws of the United States.
e.	The User shall not alter the Digital version of the “Worldwide Aviation Directory” in any way. 
f.	The User shall not allow others to use the Digital version of the “Worldwide Aviation Directory” and shall not use it in a way that allows others to download or redistribute it except in accordance with this Agreement.

V.	Price
a.	The seller will provide the Digital version of the “Worldwide Aviation Directory” for free to AOPA USA members in good standing of their yearly dues at the moment of download.
VI.	Warranties
a.	The Seller warrants that it is entitled to grant the use of the Digital version of the “Worldwide Aviation Directory” described in this Agreement and that this Agreement does not infringe the rights of third parties.
b.	The Digital version of the “Worldwide Aviation Directory” is provided "as is" to the User. The Seller and its officers, employees, agents, and suppliers do not provide any warranty, whether express or implied, as to the Digital version of the “Worldwide Aviation Directory”.
VII.	Liability & Indemnity
a.	The Seller will not be liable for any third-party claims, losses, damages, liabilities, penalties, punitive damages, expenses, legal fees, or costs of any kind or amount resulting from the User’s use of the Digital version of the “Worldwide Aviation Directory.” 
b.	The User agrees to defend, indemnify, and hold harmless the Seller and its officers, employees, agents, and suppliers against any and all claims, losses, damages, liabilities, penalties, punitive damages, expenses, reasonable legal fees, and costs of any kind or amount whatsoever resulting from or arising out of the unauthorized use of the Digital version of the “Worldwide Aviation Directory” by the User, or its officers, employees, agents or suppliers, or the User's breach of this Agreement.
VIII.	Expiry or Termination
a.	This Agreement will continue indefinitely according to its renewal terms unless one of the Parties decides not to renew it or it is otherwise terminated for any of the reasons set out below.
b.	This Agreement shall terminate immediately upon the failure of the User to comply with the terms and conditions herein.
c.	The Seller reserves the right to cancel this Agreement immediately:
a.	if the User fails to observe clause IV “Restrictions on Use” or
b.	in the event of copyright infringement
c.	The Seller reserves the right to discontinue the license and terminate the Agreement immediately, as well as to commence legal proceedings if any copyright infringement has occurred due to the User’s unauthorized use of the Digital version of the “Worldwide Aviation Directory.”
d.	Upon expiry or termination of this Agreement, the User shall discontinue using the Digital version of the “Worldwide Aviation Directory” and destroy all copies and archives of it. 
 .	Intellectual Property Rights
a.	The Seller retains all intellectual property rights in the Digital version of the “Worldwide Aviation Directory,” including the sole copyright to the Digital version of the “Worldwide Aviation Directory.” Nothing in this Agreement shall operate to transfer, assign, or otherwise grant any party any right or interest in the Seller's intellectual property rights or affect ownership by the Seller of intellectual property rights with regard to the Digital version of the “Worldwide Aviation Directory”.
a.	Any use, under any conditions not specifically allowed for in this Agreement, may constitute a violation of federal copyright law or international copyright agreements.
b.	The User shall not falsely represent that they are the original creator of the Digital version of the “Worldwide Aviation Directory”.
I.	Export Laws
a.	To benefit from a free license for the Digital version of the “Worldwide Aviation Directory,” the User must comply with applicable export laws. 
b.	The User shall not ship, transfer, copy, or export the Digital version of the “Worldwide Aviation Directory” to any country in a manner prohibited by the laws of the United States or use it in any manner prohibited by the laws of the United States.
II.	Severability
a.	If any provision of this Agreement conflicts with the applicable legislation of the United States (the "Act"), the Act will prevail, and such provision of the Agreement will be amended or deleted as necessary to comply with the Act. Further, any provisions required by the Act are incorporated into this Agreement. 
b.	Suppose any terms or provisions of this Agreement are determined invalid or unenforceable by a court of competent jurisdiction. In that case, the remainder of this Agreement will not be affected, and each unaffected term and provision will remain in full force and effect. 
III.	Governing Law
a.	This Agreement will be governed by and construed under the laws of the United States without regard to the jurisdiction in which any action may be instituted. The User agrees to submit to the jurisdiction of the courts of Maryland to bring any action or to enforce this Agreement. Notwithstanding, the Seller reserves the right to commence legal action to obtain injunctive relief in any court of competent jurisdiction. 
IV.	Assignment
a.	The User may not assign or transfer the Agreement or any rights granted within it without the Seller's prior written consent, and any attempted assignment or delegation without such consent will be void.
b.	The Agreement will inure to the benefit and be binding upon the Seller, the User, and their respective successors and assigns. 
V.	Agreement of Parties
a.	This Agreement constitutes the entire agreement between the Seller and the User regarding the subject matter hereof, and there are no further items or provisions, either oral or otherwise. 
b.	The provisions of this Agreement cannot be changed except by the signed and delivered written consent of both Parties. 
VI.	Dispute Resolution
a.	Suppose any dispute relating to this Agreement between the Seller and the User is not resolved through informal discussion within 14 days from the date a dispute arises. In that case, the Parties agree to submit the issue before a non-binding mediator and to an arbitrator if mediation fails. The decision of the arbitrator will be binding on the Parties. Any mediator or arbitrator must be a neutral party acceptable to both the Seller and the User. The User will bear the cost of any mediations or arbitrations.
VII.	General Provisions
a.	Headings are inserted for convenience only and are not to be considered when interpreting this Agreement. Words in the singular mean and include the plural and vice versa. Words in the masculine mean and include the feminine and vice versa.
b.	Except where otherwise stated in this Agreement, all terms employed in this Agreement will have the same definition as outlined in the Uniform Commercial Code in effect in the State of Maryland on the date of execution of this Agreement.
c.	This Agreement may be executed in counterparts. Facsimile, electronic, or consent through a web form signature are binding and considered original signatures.
d.	All monetary amounts in this Agreement refer to the United States dollar (USD), and all payments required under this Agreement will be paid in USD unless the Parties agree otherwise in writing.
